These Terms of Service outline the rules and guidelines for using our platform, including your rights and responsibilities as a user. By accessing or using our services, you agree to comply with these terms.

These Terms of Service ("Terms") govern your access to and use of the Chia website (https://www.ramco.com/ai/conversational-ai), Chia's AI agent platform, and any related software, documentation, integrations, applications, or services (collectively, the "Services") offered by Ramco Systems Limited ("Ramco", "Chia", "we", "us", or "our"). By using the Services, you agree to these Terms.

Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services. 

1. Introduction 

Chia is an enterprise-grade conversational AI agent platform developed and operated by Ramco Systems Limited. The Services enable businesses to deploy, manage, and optimize AI agents capable of handling complex customer interactions, transactions, and workflows across digital channels — including chat, email, and APIs. 

These Terms apply to all users of the Services, including companies, their employees, contractors, administrators, and any end-users interacting with the platform. 

2. Eligibility 

You may use the Services only if: 

  • You are at least 18 years of age or the age of majority in your jurisdiction. 

  • You have full legal capacity and authority to enter into these Terms. 

  • You are not prohibited from accessing or using the Services under applicable laws. 

  • Entering into these Terms on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity. 

3. Account Registration and Responsibilities 

To use certain features, you must register an account. You agree to: 

  • Provide accurate, complete, and up-to-date information during registration. 

  • Keep your login credentials secure and confidential. 

  • Notify us immediately of any unauthorized use or suspected security breach at chia-support@ramco.com. 

  • Remain responsible for all activity under your account, including actions taken by employees, contractors, or agents. 

We reserve the right to suspend or terminate accounts that are incomplete, inaccurate, or suspected of misuse.  You shall not assign or transfer your account or these Terms without our written consent.  

4. Description of Services

We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for lawful purposes. The Services may include (but are not limited to): 

  • Conversational AI agent deployment and configuration across chat, email, and API channels 

  • Knowledge base ingestion, management, and enterprise connector integrations (Confluence, Notion, SharePoint, and more) 

  • Natural Language Workflow (NLW) builder and flow design tools 

  • Support analytics, resolution dashboards, and CSAT performance tracking 

  • Integration with third-party CRM and helpdesk tools (Salesforce, HubSpot, Zendesk, and others) 

  • API access for enterprise clients 

  • Data labelling, feedback loops, and continuous AI improvement infrastructure 

We continuously improve the Services. For changes that materially impact core functionality, we will make reasonable efforts to provide advance notice.  

5. Acceptable Use Policy 

You agree not to use the Services to: 

  • Violate any local, state, national, or international law or regulation. 

  • Infringe on the intellectual property or privacy rights of others. 

  • Upload, transmit, or distribute viruses, malware, or harmful code. 

  • Interfere with or disrupt the integrity, security, or performance of the platform. 

  • Train or develop competing AI products based on Chia's outputs, architecture, or proprietary methods. 

  • Engage in fraudulent, harassing, misleading, or unethical behavior. 

  • Deploy Chia AI agents in contexts that knowingly mislead end-users about interacting with an AI system. 

  • Misuse the Services for fraud, spam, harassment, doxxing, exploitation of minors, or other abusive/illegal activity.

Prohibited Businesses & High-risk Use: You shall not use the Services for:   

  • High‑risk applications where failure could lead to death or serious harm (e.g., critical medical diagnosis/treatment, autonomous weapons, aviation/energy control systems);   

  • Illegal or sanctioned activities;   

  • Generating or disseminating content intended to deceive about real‑world harm, elections, or public safety. 

We reserve the right to monitor, investigate, suspend, or terminate accounts that breach this policy, without prior notice where necessary to protect the platform or other users. 

6. Data Use and Privacy 

All personal data is handled in accordance with our Privacy Policy and applicable Data Processing Agreements. Key commitments include: 

  • Dedicated, isolated processing environments per enterprise customer 

  • Encryption of data at rest and in transit 

  • PII masking before AI processing where applicable 

  • No training on your data without explicit consent 

  • Customer data used solely to deliver and improve the Services 

  • Regular third-party security audits and certifications 

7. Fees and Payment 

Some features of the Services require payment. By subscribing to a paid plan, you agree to the following: 

  • Fees are as described in your order form or enterprise agreement. 

  • Provide a valid payment method via our PCI-compliant processor (e.g., Stripe, Razorpay). 

  • Authorise us to charge your payment method for all due amounts. 

  • Authorize recurring billing unless explicitly cancelled before the renewal date. 

  • All payments are final and non-refundable, unless otherwise required by law or a written agreement. 

  • Payments are due within 30 days of invoice. 

  • All fees are exclusive of applicable taxes, levies, or duties. 

Enterprise customers may have custom contracts that supersede standard payment terms. Please contact your account manager for details. 

8. Customer Obligations 

As a customer, you agree not to: 

  • Use the Services in violation of any applicable laws or regulations. 

  • Reverse engineer, modify, decompile, or create derivative works from Ramco's intellectual property. 

  • Interfere with service performance, access controls, or security mechanisms. 

  • Use Chia's outputs to build competing AI products or services. 

  • Resell, sublicense, or transfer access to the Services without our prior written consent. 

9. Privacy and Data Protection 

Our data handling practices are governed by our Privacy Policy and Data Protection Policy, both of which form part of these Terms. 

GDPR (EU/EEA) 

Lawful, fair, and transparent processing of personal data; data subject rights including access, rectification, erasure, restriction, objection, and portability; data minimization, purpose limitation, and retention policies; cross-border data transfer mechanisms using SCCs and appropriate safeguards. 

CCPA / CPRA / CalOPPA (California) 

Disclosure of categories of personal data collected and used; right to know, delete, and opt-out of data "sales" (Chia does not sell personal data); rights for authorized agents and non-discrimination provisions. 

DPDP Act (India) 

Consent-based processing with purpose limitation; obligations as a Data Fiduciary under the Digital Personal Data Protection Act, 2023; adherence to data localization and cross-border transfer protocols as mandated. 

10. Intellectual Property Rights 

All intellectual property rights in the Services — including the Chia platform, AI models, NLW engine, design, documentation, and brand elements — are owned by Ramco Systems Limited or its licensors. 

You may not: 

  • Copy, modify, reverse engineer, disassemble, or create derivative works of the Services. 

  • Use Chia's or Ramco's brand, trademarks, logos, or UI elements without prior written permission. 

  • Remove or obscure any proprietary notices, watermarks, or ownership identifiers. 

Subject to these Terms and third‑party rights, you own your Inputs and (to the extent permitted by law) you are granted rights in Outputs for your lawful use.  You grant Ramco a non-exclusive, royalty-free, worldwide license to use, process, and store your content solely to operate the Services and improve their functionality, subject to the terms of your Data Processing Agreement. No rights are granted by Ramco except as expressly stated. 

11. Confidentiality 

You agree to maintain the confidentiality of any non-public information, trade secrets, documentation, or other sensitive data disclosed by us during the course of using the Services. 

This obligation survives termination of the agreement and remains in effect for five (5) years, or longer if required by applicable law or specified in a custom enterprise agreement. 

12. Service Levels and Availability 

Ramco aims to maintain at least 99.9% monthly uptime for core systems for the Chia platform, excluding: 

  • Scheduled maintenance windows (with at least 24 hours prior notice) 

  • Emergency security updates required to protect the platform 

  • Downtime caused by third-party services, cloud providers, or external APIs beyond our control 

Enterprise customers may negotiate enhanced SLA terms, data residency commitments, and dedicated uptime guarantees through their enterprise agreement. Contact your account manager for details. 

13. Beta Features 

Certain Services may be released as Beta, Experimental, or Early Access. These features are provided "as is" with no guarantees of performance, security, data integrity, or availability. Use of such features is entirely at your own risk. Feedback on Beta features may be used by Ramco to improve the product. 

14. Third-Party Services 

Our Services integrate with third-party tools and platforms. Your use of those tools is governed by their respective terms and privacy policies. Ramco is not responsible for: 

  • Downtime, errors, or service interruptions caused by third-party providers. 

  • Data breaches, privacy violations, or security incidents originating from third-party systems. 

  • Changes to third-party APIs that may affect integrations with the Chia platform. 

15. Term, Suspension, and Termination 

These Terms remain in effect until you stop using the Services and close your account, or until we terminate your access. We may suspend or terminate your account without liability if: 

  • You violate these Terms or our Acceptable Use Policy. 

  • Required by legal, regulatory, or court order. 

  • Non-payment of applicable fees after reasonable notice. 

  • Your account poses a threat to the security or stability of the platform. 

Upon termination, your right to access the Services ends immediately. Your data will be deleted or returned within 30 days, unless otherwise required by law or your contractual agreement. 

You may stop using the Services at any time. Provisions that by their nature should survive (e.g., IP ownership, confidentiality, limits of liability, indemnity, governing law) will survive termination. 

16. Disclaimers 

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to: 

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 

  • That the Services will be uninterrupted, error-free, or fully meet your expectations. 

  • That AI-generated outputs will be accurate, complete, or appropriate for all purposes. 

We are not responsible for damages resulting from third-party integrations, force majeure events, or misuse of the platform. AI-generated content should be reviewed before use in critical business processes. 

You are solely responsible for the legality, accuracy, and use of Inputs/Outputs, including obtaining necessary consents and providing legally required notices. 

AI systems can generate incorrect, incomplete, or biased Outputs. You should evaluate Outputs for accuracy, relevance, and safety before relying on them. The Services are provided for general information/automation and are NOT professional advice (legal, medical, financial, etc.). You remain responsible for your decisions and compliance. 

17. Warranties 

Ramco Systems Limited represents and warrants that: 

  • The Services are free from third-party claims that would prevent your use as contemplated by these Terms. 

  • The Services comply with all applicable laws and regulations in the jurisdictions we operate. 

  • Our software does not knowingly contain viruses, malware, or malicious code. 

  • We will perform services professionally, with enterprise-grade support and high availability standards. 

18. Limitation of Liability 

To the fullest extent permitted by applicable law: 

  • Ramco shall not be liable for any indirect, incidental, punitive, special, or consequential damages arising from your use of the Services. 

  • Our total aggregate liability is limited to the fees paid by you in the preceding 6 months. 

  • This limitation applies regardless of the theory of liability, including negligence, and even if Ramco was advised of the possibility of such damages. 

Enterprise customers with custom agreements may negotiate enhanced liability terms and SLA credits. Please refer to your enterprise contract. 

19. Indemnification 

You agree to indemnify and hold harmless Ramco Systems Limited, its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: 

  • Your use of the Services in violation/breach of these Terms. 

  • Your violation of any applicable law, regulation, or third-party rights. 

  • Any content or data you submit, transmit, or process through the Services. 

20. Export Control and Sanctions 

You may not use the Services if you are located in a country or territory subject to U.S., EU, UN, or Indian government sanctions, or if you are on any government-maintained list of restricted or prohibited persons or entities. You agree to comply with all applicable export and import laws and regulations in connection with your use of the Services. 

21. Governing Law and Jurisdiction 

These Terms, and any questions, disputes, or claims arising out of or relating to these Terms, their interpretation, performance, or breach, shall be governed by and construed exclusively in accordance with the laws of the Republic of India, without reference to any conflict‑of‑laws principles. The Parties expressly and irrevocably agree that the competent courts at Chennai, Tamil Nadu, shall have exclusive jurisdiction over any such disputes, and the Parties hereby waive any objection to such jurisdiction, including objections based on inconvenience of forum or lack of personal jurisdiction. 

Preservation of Mandatory Data Subject Rights Under GDPR, CCPA, CalOPPA, and CPRA 
For clarity, the foregoing provisions relating to governing law and jurisdiction apply solely to contractual and commercial disputes between the Parties. However, where any individual using the Services qualifies as a “data subject” or “consumer” under the GDPR, CCPA, CalOPPA, or CPRA, such individual shall retain all rights, protections, remedies, and redressal mechanisms that are mandatorily afforded under the respective statutes or regulations. No provision in these Terms shall be construed to limit, waive, restrict, or adversely affect: 

  • Any statutory rights of such data subjects; 

  • Any mandatory obligations imposed on the Company by those laws; or 

  • Any rights to lodge complaints or seek redress before competent supervisory authorities, as provided under the respective privacy laws. 

For avoidance of doubt, the recognition of such statutory rights shall not, however, modify the Parties’ agreement regarding governing law and jurisdiction for contractual matters, nor shall it create any additional forum for contractual disputes. 

22. Amendments 

We may update these Terms from time to time to reflect changes in law, product features, or business operations. We will provide notice via email or in-platform notification where material changes occur, with at least 14 days' notice before the changes take effect for existing customers. 

Continued use of the Services after changes are effective constitutes your acceptance of the updated Terms. 

We may assign the Services to an affiliate or in connection with a merger, acquisition, or sale of assets.
